These Terms & Conditions outline the rules and guidelines for using our website and services. By accessing or using our solutions, you agree to comply with these terms, ensuring a secure and transparent experience for all users.

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Custom Jewel Technologies (“Company”, “we”, “us”, or “our”) and you (“Client”, “User”, or “you”). By accessing or using our casting software, digital platforms, or any associated services (collectively, “Services”), you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. About Custom Jewel Technologies

Custom Jewel Technologies is a Pakistan-based software company specialising in casting software and end-to-end digital solutions for jewellery manufacturers, wholesalers, and jewellery casters. Our purpose-built solutions are designed to help jewellery businesses streamline casting operations, improve production accuracy, and gain better control over manufacturing processes through modern technology and deep local industry expertise.

2. Definitions

  • “Services” refers to all software products, digital platforms, tools, APIs, and professional services offered by Custom Jewel Technologies
  • “User” means any individual or entity that accesses or uses the Services
  • “Client” means an organisation or business that has entered into a commercial agreement with the Company
  • “Data” means any information, content, or materials submitted through or generated by the Services
  • “Subscription” means a paid or trial licence granted to use the Services for a defined period
  • “Confidential Information” means non-public business, technical, or financial information disclosed by either party

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years of age and have the legal authority to enter contracts on behalf of your business. By registering, you represent that you meet these criteria.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access or security breach.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to promptly update such information as necessary.

4. Licence and Permitted Use

4.1 Grant of Licence

Subject to these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business operations in the jewellery manufacturing and casting industry.

4.2 Restrictions

You must not:

  • Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Services
  • Resell, sublicence, rent, lease, or transfer access to the Services to any third party
  • Use the Services for any unlawful, fraudulent, or harmful purpose
  • Attempt to gain unauthorised access to the Company’s systems or networks
  • Remove, alter, or obscure any proprietary notices or branding within the Services
  • Use automated tools to scrape, extract, or harvest data from the Services

5. Subscription, Fees, and Payment

5.1 Subscription Plans

Access to certain Services requires a paid subscription. Plan details, pricing, and included features are described in the applicable service agreement or the Company’s official pricing documentation.

5.2 Payment Terms

Fees are due as specified in your subscription plan. Payments must be made in Pakistani Rupees (PKR) unless otherwise agreed. All fees are non-refundable except as expressly stated herein or required by law.

5.3 Late Payment

Failure to pay undisputed fees by the due date may result in suspension of Services. The Company reserves the right to apply reasonable interest on overdue amounts in accordance with applicable commercial law.

5.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for all taxes, duties, and levies arising from your use of the Services under Pakistani law.

6. Intellectual Property

6.1 Company IP

All intellectual property rights in the Services, including software, algorithms, databases, branding, designs, and documentation, are and remain the exclusive property of Custom Jewel Technologies. Nothing in these Terms transfers any ownership rights to you.

6.2 Your Data

You retain all rights to the Data you submit through the Services. By submitting Data, you grant the Company a limited licence to process and use that Data solely to deliver and improve the Services.

6.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Services, you grant the Company a royalty-free, perpetual, irrevocable licence to use such feedback without any obligation to compensate you.

7. Confidentiality

Each party agrees to maintain the confidentiality of the other party’s Confidential Information using at least the same degree of care it applies to its own confidential information, and not less than reasonable care. Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Data Privacy

The collection and processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to such processing and warrant that all data you provide has been collected lawfully.

9. Warranties and Representations

9.1 Company Warranties

The Company warrants that: (a) it has the authority to enter into these Terms; (b) the Services will perform materially in accordance with their documentation; and (c) it will employ reasonable security measures to protect your Data.

9.2 Disclaimer

Except as expressly stated, the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the Services will be uninterrupted, error-free, or free from viruses or harmful components.

10. Limitation of Liability

To the maximum extent permitted by applicable Pakistani law:

  • The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services
  • The Company’s total aggregate liability for any claim arising under these Terms shall not exceed the total fees paid by you in the three (3) months immediately preceding the event giving rise to liability
  • These limitations apply regardless of the theory of liability (contract, tort, negligence, or otherwise) and even if the Company has been advised of the possibility of such damages

11. Indemnification

You agree to indemnify, defend, and hold harmless Custom Jewel Technologies, its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any law or third-party rights; or (d) any Data you submit through the Services.

12. Term and Termination

12.1 Term

You may terminate your subscription at any time by providing written notice in accordance with your subscription plan.

12.2 Termination by You

These Terms commence on the date you first access the Services and continue until terminated.

12.3 Termination by the Company

We may suspend or terminate your access, with or without notice, if: (a) you breach these Terms; (b) you fail to pay applicable fees; (c) your use poses a security or legal risk; or (d) we discontinue the relevant Services with reasonable notice.

12.4 Effect of Termination

Upon termination, your licence to use the Services ceases immediately. Provisions of these Terms that by their nature should survive (including confidentiality, IP, liability, and indemnification clauses) shall remain in full force.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan.

13.2 Dispute Resolution

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Pakistan.

14. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including natural disasters, government actions, power failures, internet disruptions, civil unrest, or other force majeure events. The affected party must promptly notify the other and use reasonable efforts to mitigate the impact.

15. Modifications to Terms

The Company reserves the right to update these Terms at any time. Material changes will be communicated via email or in-platform notification at least 14 days before taking effect. Continued use of the Services after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use and may terminate your subscription without penalty.

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any applicable service agreements, constitute the entire agreement between you and the Company with respect to the Services
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights
  • Assignment: You may not assign your rights or obligations under these Terms without prior written consent. The Company may assign its rights in connection with a business transfer or restructuring
  • Notices: All formal notices must be in writing and delivered by email or post to the addresses provided
